Validity:  All the times when customers are using Stargroup provided services after signing up with Stargroup.

1. Overview and Acceptance

Company Information: Star Group ("Stargroup", "we", "us", "our") provides communication platform-as-a-service (CPaaS), APIs, messaging, and communication technology solutions.

Acceptance: By registering for our services, accessing our platform, or using any Stargroup service, you confirm that you have read, understood, and agree to be legally bound by these Terms and Conditions ("Terms").

Scope: These Terms apply to all users of Stargroup services, including customers, merchants, vendors, and contributors of content.

2. Services and Eligibility

Services Provided: CPaaS solutions, messaging APIs, communication technology platforms, SMS services, voice services, WhatsApp Business API, and related communication tools.

Eligibility: You must be at least the age of majority in your jurisdiction. If accepting these Terms on behalf of an organization, you represent that you have authority to bind that organization.

Service Updates: We reserve the right to modify, update, or discontinue services at any time without prior notice.

3. Registration and KYC Requirements

Registration: Valid registration through our online form is required before service activation.

KYC Documentation: Complete and verifiable Know Your Customer (KYC) documentation must be provided prior to service activation.

Documentation Updates: Customers are responsible for keeping KYC documentation current. We may suspend services for invalid or missing documentation.

Account Security: You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. You must safeguard your login credentials, API keys, passwords, and any other access credentials at all times. Stargroup will not be liable for any unauthorized usage, errors, or breaches that occur in customer platforms or systems due to compromised credentials or inadequate security measures implemented by the customer.

4. Customer Responsibilities and Compliance

Regulatory Compliance: You must comply with all applicable regulations including:

  • TRAI (Telecom Regulatory Authority of India) guidelines
  • DoT (Department of Telecommunications) regulations
  • Platform-specific policies (Meta/WhatsApp, Google, Truecaller)
  • Consumer protection laws
  • Data protection and privacy laws

Content Standards: You agree not to:

  • Use services for illegal or unauthorized purposes
  • Transmit unsolicited promotional content without proper consent
  • Send content that violates platform policies or applicable laws
  • Use transactional accounts for promotional communications
  • Engage in spamming, phishing, or malicious activities

Compliance Monitoring: It is solely your responsibility to stay updated with policy changes. Stargroup will not be responsible for service interruptions due to your non-compliance.

5. Billing and Payment Terms

Usage-Based Billing: Charges are calculated based on actual usage recorded in Stargroup systems.

Overage Billing: Any usage exceeding your subscribed plan limits or prepaid credits will be automatically billed at the ongoing pricing rates applicable at the time of usage.

Rate Updates: Price changes by Stargroup or third-party providers will be automatically reflected in invoices without prior notice requirement.

Payment Terms: Invoices are due as specified in your service agreement. Standard payment terms are 7 days from invoice date.

Late Payment Charges:

  • 1.5% monthly interest on unpaid amounts for the first 30 days past due date
  • 3% monthly interest on amounts exceeding 30 days past due date

Service Suspension: We reserve the right to suspend or terminate services if invoices remain unpaid for more than 7 calendar days past the due date.

Invoice Disputes: Must be raised in writing within 3 days of invoice issuance.

Taxes: All prices are exclusive of applicable taxes, which will be charged per prevailing law.

6. Credit Validity and Refunds

Credit Validity: Prepaid credits are valid for 1 year from the date of issue unless otherwise specified.

Non-Refundable Items:

  • Unused credits upon service termination
  • Platform and access fees (monthly/quarterly/annual) once billed
  • Charges incurred due to policy violations or incorrect usage
  • Services affected by customer business priority changes
  • Underutilization or inactivity
  • Services disrupted due to spamming activities or violations of statutory provider terms (TRAI, Google, Meta, Truecaller, etc.)
  • Any service limitations resulting from customer non-compliance with platform policies

Refund Policy: Refunds are only available within 7 days of purchase for unused services where we cannot correct service delivery issues.

7. Service Termination

Termination Notice Requirements:

  • General services: 30 days written notice
  • Quarterly contracts: 15 days notice before renewal
  • Virtual numbers/voice services: 90 days notice

Effect of Termination: Termination does not entitle customers to refunds for pre-billed amounts or unused credits. All payment obligations survive termination.

Immediate Termination: We may immediately terminate services for non-payment, policy violations, or regulatory directives.

Emergency Suspension: We reserve the right to suspend or terminate services immediately without notice in cases of:

  • Suspected breach of these Terms
  • Illegal usage or activities
  • Spamming or abuse of platform resources
  • Violation of statutory provider terms (TRAI, Google, Meta, Truecaller)
  • Risk to system security or other customers
  • Regulatory enforcement actions

8. Service Level and Availability

Best Effort Service: Services are provided on a best-effort basis with high availability targets.

Maintenance: Scheduled maintenance may cause temporary service interruptions.

Third-Party Dependencies: Services depend on third-party infrastructure including telecommunications networks. We are not liable for interruptions caused by such dependencies.

No Service Guarantees: We do not guarantee uninterrupted, timely, secure, or error-free service operation.

9. Limitation of Liability

Subject to applicable law and except for liability that cannot be lawfully excluded or limited, neither party shall be liable for any remote, indirect, or consequential damages, including but not limited to loss of profits, revenue, business, business interruption, loss of business opportunity, loss of data, goodwill, reputation, costs of procurement of substitute services, or service interruptions due to third-party dependencies including telecommunication networks, and this limitation clause shall be deemed reasonable and enforceable with the Customer acknowledging that the Services depend on third-party infrastructure and networks beyond Company's reasonable control and Company shall not be liable for service interruptions arising from such dependencies.

Maximum Liability: Our total liability is limited to the lesser of: (a) the average monthly amount paid by you over the 12 months preceding the claim, or (b) INR 1,00,000 (One Lakh Rupees).

No Outcome Guarantees: We provide no guarantees for campaign outcomes or business results unless specifically agreed in writing.

Customer Platform Liability: Stargroup shall not be liable for any unauthorized usage, errors, security breaches, data loss, or any other issues that occur within customer platforms, systems, or applications that utilize Stargroup services. The customer is solely responsible for implementing appropriate security measures and monitoring their own platforms and systems.

10. Data and Privacy

Data Collection: We collect and process personal information as described in our Privacy Policy.

Data Security: We implement industry-standard security measures to protect your data.

Customer Data: You retain ownership of your data and content. We process it only as necessary to provide services.

Third-Party Integrations: When using third-party services, their privacy policies also apply.

11. Intellectual Property

Service Ownership: Stargroup retains all rights to its platforms, APIs, and proprietary technology.

Customer Content: You retain rights to your content while granting us necessary licenses to provide services.

Restrictions: You may not reproduce, duplicate, copy, sell, or exploit any portion of our services without express written permission.

12. Indemnification

You agree to indemnify and hold harmless Stargroup and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

  • Your use of services
  • Violation of these Terms
  • Breach of applicable laws or regulations
  • Third-party claims related to your content or activities

13. Reporting and Support

Log Requests: Must be submitted within 2 days of invoice issuance. Additional charges may apply based on volume and retrieval complexity.

Support Channels:

Response Times: Support response times vary by service level agreement.

14. Modifications and Updates

Terms Updates: We reserve the right to update these Terms at any time. Changes will be posted on our website with effective dates.

Service Changes: We may modify, suspend, or discontinue services with reasonable notice when possible.

Continued Use: Your continued use of services after changes constitutes acceptance of updated Terms.

15. Governing Law and Jurisdiction

Applicable Law: These Terms are governed by the laws of India.

Jurisdiction: All disputes are subject to the exclusive jurisdiction of courts in New Delhi, India.

Dispute Resolution: We encourage resolution of disputes through direct communication before pursuing legal action.

16. Miscellaneous

Entire Agreement: These Terms, along with our Privacy Policy and service-specific agreements, constitute the complete agreement between parties.

Severability: If any provision is deemed unenforceable, the remaining provisions remain in full effect.

Assignment: We may assign these Terms without notice. You may not assign your obligations without our written consent.

Force Majeure: Neither party is liable for delays or failures due to circumstances beyond reasonable control.
